NAIVA AG is an advisory and coordination firm. Every regulated step of a transaction is carried out by an appropriately licensed counterparty, and remains subject to that institution’s own approval and procedures.
This page describes the kinds of counterparty a transaction involves and where the line runs between their work and ours. It names no institution: who is involved in a particular mandate is disclosed to the parties to that mandate, not on a website.

WHO IS INVOLVED
Six kinds of counterparty.
Each of them performs a professional or regulated act in its own name and under its own authorisation. What follows describes that role — and, in each case, what NAIVA AG does not do alongside it.

Banks & Financial Institutions
Banks open and maintain accounts, run their own onboarding and issue, advise or confirm bank instruments where they decide to do so. Every such decision follows the institution’s own credit assessment, compliance rules and internal approval. NAIVA AG holds no client funds, maintains no accounts and issues nothing.

Law Firms & Notaries
Legal counsel drafts and reviews the contractual documentation, advises on governing law and jurisdiction, and certifies signatures or corporate authority where a transaction requires it. NAIVA AG gives no legal advice and certifies nothing; that mandate is given by the client to the firm directly.

Licensed Escrow Agents
A licensed escrow agent holds funds or documents against release conditions agreed in advance and releases them only once those conditions are met, on its own account and under its own licence. NAIVA AG neither holds nor releases escrow funds; it helps agree the conditions and keeps the parties to the agreed sequence.

Family Offices & Investors
Investors and family offices decide for their own account whether to commit capital, on what terms and at what point. NAIVA AG does not manage assets, does not solicit investment and gives no investment advice; an introduction describes a transaction, it does not recommend one.

Auditors & Tax Advisers
Auditors and tax advisers examine figures, confirm financial information and assess how a structure is treated in the jurisdictions concerned. NAIVA AG does not audit and issues no tax opinion; where a transaction needs one, it is obtained from the adviser appointed for it.

Regulated Digital-Asset Providers
Licensed exchanges, custodians and virtual-asset service providers hold digital assets, carry out conversions and run their own travel-rule, sanctions and AML checks under their authorisation. NAIVA AG takes no custody of digital assets, executes no trades and operates no wallet.
THE DIVISION OF LABOUR
Who does what — and who answers for it.
The same line runs through every mandate. NAIVA AG prepares, coordinates and documents. The regulated act itself is carried out by a licensed counterparty, in its own name, under its own authorisation and at its own discretion.
Advising
Structures the request, sets out the routes that are open to it and names what is still missing. The work is advisory and commercial; it replaces no regulated advice.
Gives the advice reserved to it — legal, tax, audit or investment — under its own licence and on its own responsibility.
Documenting
Assembles the file, keeps versions, deadlines and open points in one place, and makes sure every party works from the same set of documents.
Drafts, issues and signs the binding documents — contracts, instruments, certificates — and answers for their content.
Verifying
Collects KYC/KYB and source-of-funds material, checks it for completeness and passes it on in the form the receiving institution asks for.
Carries out the binding due diligence, verifies identity and source of funds independently, and accepts or declines the relationship on that basis.
Executing
Coordinates parties, sequence and timing. It moves no funds, holds no assets and issues no instrument.
Executes: opens accounts, transfers funds, issues or confirms instruments, settles — in its own name and under its own authorisation.
Answering for it
Answers for its own advisory and coordination work, and for nothing beyond it.
Answers for the regulated act it performs, towards its supervisor and towards the parties, and decides on that act alone.

Banks, law firms, escrow agents, auditors and licensed digital-asset providers approach us. An enquiry can be assessed faster when it arrives complete, and the points below are the ones we ask about first in any case.
Every enquiry is read and answered by a named contact. An enquiry creates no mandate, and NAIVA AG is free to decline one without giving reasons.

What an enquiry should contain
- Legal name, registered address and company or commercial-register number of the institution.
- Licence or registration details, and the supervisory authority that issued them.
- The name and function of the person responsible for the relationship, and a direct way to reach them.
- A short description of the services the institution performs itself, and the jurisdictions they cover.
- The compliance framework applied — KYC/KYB, AML and sanctions screening — and who carries it out.
- Any conflict of interest or existing relationship that bears on the matter at hand.
